Terms & Conditions

Introduction

  1. By using our services or accessing this website, you agree to these Terms & Conditions (T&Cs).

  2. These govern your relationship with Neurality Holding B.V., a company registered in the Netherlands at the Chamber of Commerce with ID 88179540

  3. We reserve the right to update terms without prior notice; continued use constitutes acceptance.

Services

We provide AI development services, including:

  • AI model creation and optimization.

  • AI algorithm creation and optimization

  • Project execution based on client specifications.

  • Consultation and technical support during project delivery.

 Intellectual Property

  1. All AI models, code, and documentation remain the property of Neurality Holding B.V. until formal transfer via written contract

  2. You retain IP rights for your project’s inputs (e.g., data, designs).

  3. We may use anonymized project insights for internal improvements unless restricted by agreement

Project Requirements

  1. Clients must provide clear specifications and access to necessary data.

  2. We reserve the right to terminate projects if insufficient information is provided or payment terms are breached.

Liability Limitation

  1. We are not liable for indirect damages, unless caused by intent or gross negligence.

  2. AI outcomes depend on client-provided data and specifications; we assume no responsibility for unintended consequences of deployed models and the usage of your data.

Payment Terms

  1. Invoices must be settled within 14 days.

  2. Late payment fees are calculated in accordance with Dutch statutory provisions, which set the legal interest rate for overdue payments. For more details, please visit https://business.gov.nl/regulation/payment-term-collection-charges-statutory-interest/

Confidentiality

Both parties agree to maintain confidentiality regarding project details and proprietary information.

Termination

  1. Either party may terminate the agreement with 30-days notice.

  2. If an invoice remains unpaid after its due date and remains unconditionally owed, we may terminate this agreement immediately pursuant to Dutch Civil Code Article 6:254 BW and suspend further services until payment is received. Termination will be effected via written notification.

Governing Law & Disputes

  1. ​These terms are governed by Dutch law.

  2. Parties will mediate disputes via an independent mediator before litigation/arbitration under Dutch law.

  3. Any litigation arising from or related to this agreement shall be exclusively resolved by the courts of Amsterdam, Netherlands
